Approval Timeframe Undefined
No defined response window means the Brand can sit on submitted work indefinitely, and hold up payment while they do.
What it means
This contract gives the brand approval rights over your deliverables but does not say how long the brand has to respond. Without a defined timeframe, the brand can sit on submitted work for days, weeks, or months, and you cannot treat it as accepted, or (often) invoice for it, until they act.
Approval response time is the single biggest factor in whether engagements finish on schedule. Where payment milestones are tied to acceptance, an undefined response window converts approval delay directly into payment delay. Without a deemed- acceptance safety net, the brand has no operational pressure to respond promptly.
What to check before you sign
- ·Is a specific approval response window defined?
- ·Does deemed-acceptance kick in if the brand misses the window?
- ·Is payment tied to acceptance or delivery?
- ·Is the response window measured in business days or calendar days?
- ·Does the same window apply to revision rounds, or only initial submission?
How to fix it
- easy
Add an approval response window (commonly 5-10 business days for initial submission, 2-3 business days for revisions after).
- easy
Add deemed- acceptance language, if the brand does not respond within the defined window, the deliverable is deemed accepted.
- moderate
Tie payment milestones to delivery rather than acceptance, removing approval delay from the payment path.
- moderate
Where approval delays drive payment delays, add interest on late payment calculated from delivery date.
Negotiating it
"Could we add a 5-business- day approval response window with deemed- acceptance if the Brand doesn't respond in that time? It keeps the delivery schedule predictable for both sides. "
Undefined approval timeframe combined with undefined approver authority, unlimited revisions, payment tied to acceptance, and explicit no-deemed- acceptance language, creates a payment-and- delivery structure where the creator's cash flow is fully under brand control. Strong walk- away signal, particularly where the creator's engagement fee is material to cash-flow forecasting.
