Brand Alignment / Values Compliance

The contract requires you to maintain values, image, or behaviour consistent with the brand.

Show it
Look in the conduct, values, or representation section for phrases like "brand alignment", "consistent with the Brand's values", "in keeping with the Brand", "maintain a public image", "reflect the Brand's standards", or "lifestyle aligned with". Section headings like "Brand Values" or "Alignment" signal the clause.
Decode it
Brand alignment transfers evaluative control over your public profile to the brand. Where "alignment" is judged subjectively, you cannot determine compliance in advance - almost any activity could be challenged. The clause is most exposing when paired with undefined values, subjective triggers, fee-clawback consequences, and survival beyond the engagement. Brand-alignment breach is often more easily invoked than morality-clause breach because the standard is positive (must maintain alignment) rather than negative (must not commit specified conduct).
Fix it
Push to enumerate the brand's values (attached schedule or referenced public document), bound the requirement to professional public activity only, add a notice-and-cure step before consequences crystallise, limit consequences to termination only (no clawback), and carve out protected expression (lawful political activity, opinion, advocacy).

What it means

This contract requires you to maintain values, image, behaviour, lifestyle, or public profile consistent with the brand. The alignment standard may be defined (with a brand values document attached) or subjective (judged by the brand on its own terms). Where subjective, the brand decides whether your conduct, expression, or public profile is "aligned", which means almost any activity could potentially be challenged.

Brand alignment requirements transfer evaluative control over your public profile to the brand. Where "alignment" is judged by the brand's subjective standard, you cannot determine compliance in advance. The clause becomes most exposing when paired with subjective triggers ("in the Brand's reasonable judgement"), no defined values document, fee-clawback consequences, and survival beyond the engagement. Brand-alignment breach is often more easily invoked than morality-clause breach because the standard is positive (must maintain alignment) rather than negative (must not commit specified conduct).

What to check before you sign

  • ·Are the brand's values defined in writing, attached, enumerated, or referenced to a document?
  • ·Does the alignment requirement apply to professional public activity only, or to personal life as well?
  • ·Does the brand judge alignment subjectively, or is there an objective standard?
  • ·Is there a notice-and-cure mechanic before consequences crystallise?
  • ·What are the consequences of misalignment, termination, fee clawback, takedown, or all of these?
  • ·Does the requirement survive the engagement?
  • ·Are there carve-outs for protected expression (political activity, opinion, advocacy)?

How to fix it

  • moderate

Attach a written brand values document or reference an existing public statement defining what alignment means operationally.

  • moderate

Limit the alignment requirement to the creator's professional public activity (content, sponsorships, appearances), carving out personal life, private opinion, and unrelated activities.

  • easy

Require written notice of alleged misalignment and a defined cure period before consequences crystallise.

  • moderate

Limit the consequences of misalignment to termination of future obligations only, no clawback of paid fees, no retrospective recovery.

  • harder

Carve out protected categories of expression (lawful political activity, opinion on industry matters, advocacy for personal causes) from the alignment standard.

Negotiating it

A good opening

"The brand alignment requirement is reasonable in principle. Could we attach or reference your brand values document so I can assess alignment operationally, bound the requirement to my professional activity, and add a notice-and-cure step before any consequences? "

When to walk away

Subjective brand alignment with no defined values, no notice-and-cure, fee-clawback consequences, survival beyond the engagement, combined with morality clause or non-disparagement, is a strong walk-away signal. The combination creates uncapped subjective liability across the creator's entire public profile.
