Warranty breach exposure, indemnity triggers, confidentiality compliance, and procedural obligations all continue indefinitely. Surviving restrictions (exclusivity tails, non-competes, confidentiality residuals) constrain commercial activity for the survival period.

Push for an enumerated survival list with tiered durations: confidentiality at 2-5 years, warranties at 12-24 months, IP rights granted in perpetuity, indemnity matched to warranty survival, payment obligations on brand side. Limit indefinite survival to genuinely permanent categories.
