Overbroad Survival Clauses
Too many obligations continue after termination; your lifetime exposure expands.
What it means
This contract specifies which obligations continue after termination. Where the survival scope is broad ("all obligations survive" or "this entire agreement shall survive"), creator obligations continue indefinitely while brand obligations expire. Well- drafted survival confines continuing obligations to specific categories (confidentiality, indemnity, rights granted) with defined durations.
Overbroad survival extends creator obligations across your lifetime, well beyond when the brand has any active interest in the engagement. Warranty breach exposure, indemnity triggers, confidentiality compliance, and procedural obligations all continue indefinitely. Surviving restrictions (exclusivity tails, non-competes, confidentiality residuals) constrain your commercial activity for the survival period.
What to check before you sign

- ·What's the duration of survival, defined period or indefinite?
- ·Are creator-favourable provisions (e.g., payment obligations) also surviving?
- ·Are time-bounded survival categories distinguished from indefinite ones?
- ·Does survival reciprocate, brand obligations also surviving where creator obligations do?

Broad "all obligations survive" language plus indefinite duration plus asymmetric structure (creator obligations survive, brand obligations don't) plus substantial continuing obligations is a strong walk-away signal.
